Maintenance

Wheresmary will provide best efforts to effect remedial support (break-fix) for Consol-Q on a next business day basis with support usually provided overnight.  The extent of remedial support is limited to resolving technical problems with the software as provided and accepted by the customer and does not extend to product enhancements.  This basic maintenance service is provided within the terms of the ongoing licence agreement.

In circumstances where wheresmary is required to access the server environment to effect maintenance services the customer will provide access via dial up connection or similar or make provision to provide on-site access to the system for wheresmary personnel

For the local installation of the ConsolQ it is the customer’s responsibility to provide maintenance of the server, web services and data base environment. 

You also get

·    New releases of the product (we hope at least every 12 months).

·   Improvements to ConsolQ that are either wheresmary or customer initiated are provided to all customers in the next version release provided under ongoing support arrangements

·    Updated user and technical documentation via www.wheresmary.com.au 

 

*User

A ConsolQ user is a staff member who is a member of your support team - they participate directly in problem and project management. Clients (those who submit issues and problems) who need to access their problem and use the solution centre are not regarded as “users” for license purposes.  However, any member of your organisation can see the client ConsolQ page which gives access to call information (except private notes), system status, Solution Centre and so on - no licensing required...

**Price and Installation
Price is for each instance of the call centre. Multiple ConsolQ Collaboration Centres can be operated on the one server/ SQL environment. Consol Q – Call Centre Licence cost includes up to 3 hours of installation support of the ConsolQ software by telephone/email.  If wheresmary staff are required on-site for installation the customer will pay for travel and accommodation charges if the installation is more than 100 km from Brisbane. Additional installation support over and above 3 hours or on-site support will be paid for by the customer at the rates of support charges (see below).

***Total product value is calculated at the end of each twelve month period from the date of initial purchase.  Total product value includes the sum total of all licensed Consol-Q components and the customised development charges over the course of the year. Maintenance charges are subject to CPI adjustment (Australia)

Installation requirements
 

Server Pentium 3 or better running Windows NT 4.0 SP6 or above.
Software

Web services – Microsoft IIS v3 or above
Data base – Microsoft SQL Server v 7.0 or above.

User workstation PC capable of running MS Internet Explorer 6. Other browsers not tested or guaranteed.


Support charges

Wheresmary is happy to provide applications support including installation, version upgrade support, training, configuration advice and more at a standard rate of $150 per hour or part thereof or $1,200 per day, whichever is lower.  Time includes meetings with customer to discuss specifications and travel if more than 1 hour from Brisbane GPO.

 

Development charges
While we endeavour to make ConsolQ as user configurable as possible, we understand that some customers require specific changes to support their business requirements. Wheresmary is happy to customise Consol-Q to customer specification at its standard hourly development rate of $250 per hour or part thereof or $2,000 per day, whichever is lower.  Meetings with customer to discuss specifications/requirements will be charged at the Support rate above.
 

Escrow
Wheresmary is happy to enter an escrow arrangement for Consol-Q source code.

 

Program licence agreement (local server version)

Pursuant to this Agreement, ConsolQ may be used on a single computer server with unlimited access to ”read users” via the ConsolQ interface.  ConsolQ write users are limited to the number of named user licences purchased.

The customer may not use, copy, modify, disassemble, decompile, reverse engineer or transfer the programs or any copy, modification or merged portion, in whole or part.

Copyright
All intellectual property rights in the SOFTWARE and user documentation are owned by Peter Hegarty and Paul Carroll.
 

Term
The licence is effective for one year from the date of invoice delivery and as extended by the customer on the payment of the ongoing annual licence fee or rejection by the customer.

Limitation of liability
Wheresmary is not liable for any damages caused by the products or the failure of the product to perform, including any lost profits, lost savings, incidental damages, or consequential damages.  Wheresmary is not liable for any claim made by a third party or made by the customer for a third party.

This limitation applies whether damages are sought, or a claim made, under this agreement.

Standard Payment Terms
Unless otherwise specified, the following are the Payment Terms under which P Hegarty and P Carroll trading as wheresmary provides services, sells and licences products.  On placing a purchase order to wheresmary, the customer agrees to the following:

Prices and quotation
Unless specified, all prices quoted are valid for 30 days.  The customer is liable for additional Goods and Services Tax (GST), import duties, stamp duty and like levies and taxes.  Quotations are not recognised unless provided by wheresmary in writing.

Order
All orders must be received in writing by wheresmary, and will be subject to acceptance by wheresmary.  Work will not be progressed until a purchase order is received.

Invoice
Software will be invoiced on delivery to customer at 75% total purchase price with the remainder payable on successful implementation.

Payment
All payments are due within 30 days of invoice, to be received at the wheresmary office, unless otherwise specified.  The customer must notify wheresmary of any problems related to the invoice within 7 days of receipt of invoice.  Wheresmary reserves the right to charge interest at commercial rates from the date of invoice for all overdue payments.

The customer has the right to withhold payment without attracting interest penalty only if the goods and services delivered do not meet the specifications of the purchase order.  In this case the customer must inform wheresmary in writing, providing adequate information to allow wheresmary to reproduce the problems reported.  The customer agrees to release overdue payments within two days once the genuine problems are fixed.

Ownership
All products and services provided by wheresmary remain property of wheresmary until payment is received in full.  Wheresmary reserves the right to remove the products and services provided at any time with 7 days notice unless payment is received.
